Membership Terms of Agreement

1. MEMBERSHIP AGREEMENT

1.1 Your membership

1.1 Your membership

These additional membership terms, together with the governing Terms of Use and Service (henceforth “TOS” found at https://goodgroceries.com.au/policies/terms-of-service) for the Good Groceries website (https://goodgroceries.com.au), make up all of the terms of a membership agreement (“agreement”) between the member (henceforth “you”) and us (“Good Groceries Pty Ltd”).

It is important that you have read and understood both the TOS and these additional terms herein before completing your membership signup and payment (“Membership Signup”) which constitutes agreement to being bound under this agreement and that you have performed the necessary diligence and/or sought the necessary advice before relying or acting upon the content of this agreement.

To sign up for membership with Good Groceries, please proceed to our membership page at https://goodgroceries.com.au/products/membership, where you can choose between a monthly or annual subscription option. Add your preferred membership subscription to your cart and complete the checkout process. By checking out with this product, you agree to be bound by all the terms and conditions outlined in this agreement.

The Good Groceries Website and its related services are made available to you in accordance with the TOS. The additional terms under this agreement are not intended to, and do not, limit or supersede any terms under the TOS. Including the right to, without notice, temporarily or indefinitely, suspending or terminating your access to the site in the event of any violations.

By agreeing to become a Member of Good Groceries, your membership both has a Minimum Commitment Period and Ongoing Commitment period for the duration of one calendar year, unless terminated under clauses 4.1 or 7.

By agreeing to become a Member of Good Groceries, you accept that the whole sum, or part thereof, of your membership fees or dues are non-refundable excluding the scenarios outlined clause 4.2 and 7.3.

We reserve the right to accept or reject any application for membership at our discretion.

1.2 Accessing your membership

To access membership benefits, you must be logged into the account associated with your membership email. Your membership is associated with the email used to purchase membership when checking out with a monthly or annual recurring membership subscription.

You can log in to your account by visiting https://goodgroceries.com.au/account or via the options displayed in the navigation menu available on the Good Groceries website. It is your responsibility to ensure you are logged into the correct account when accessing the membership benefits outlined under this agreement.

In the event that you make purchases or attempt to access membership benefits through an account that is not associated with your membership email, we reserve the right and are not obligated to confer your membership benefits to purchases retroactively.

2. MEMBERSHIP TYPE AND BENEFITS

By completing your Membership Signup you are becoming a member of Good Groceries (a “Member”) under the membership type: “GG Saver”.

Membership entitles you to:

  1. Maintain a Member account with us, and access digital content available via your GG Saver account;
  2. Access membership benefits for your membership type outlined under ‘Membership benefits’ in clause 2.1.
2.1 Membership benefits

Membership entitles you to various benefits, depending on the type of membership selected: “GG Plus” Monthly or Annual.

2.1 Membership benefits

The benefits for each membership type are as follows:

GG Saver Monthly - $4.99 AUD / month (incl. GST) - access to listed membership benefits

GG Saver Annual - $49.99 AUD / annum (incl. GST) - access to listed membership benefits with a discounted annual rate

Benefits include virtual cashback, delivery discounts (unlaunched), access to specials (unlaunched), improved refer a friend rewards (unlaunched), the option to purchase a limited number of single products per order (unlaunched) and offers (unlaunched), and the option to receive free product samples, detailed in sections 2.1.1 to 2.1.4.

The features listed as "unlaunched" are currently in development and are provided for informational purposes only. We do not guarantee that these features will be made available. Availability, details, and functionality of these unlaunched features are subject to change without notice as we refine them. Please check our website regularly for the most current information regarding available features and services.

The current membership benefits are outlined in the table below:

2.1.1 Virtual Cashback

As a member, you're eligible for virtual cashback on select products, which is credited directly to a wallet linked to your account. This virtual cash can be utilized for future purchases from Good Groceries, enhancing your shopping experience.

While virtual cashback is automatically applied to all products, occasionally, some items might not qualify for cashback. Such exceptions will be clearly indicated on the product page, ensuring transparency and ease of shopping. 

Please be aware that certain conditions may affect the applicability of discounts on products with cashback. Should any restrictions like this exist, they will be detailed on the product page, preventing the discount from being applied once such limits are met.

2.1.2 Delivery discounts

Your membership may entitle you to access a discount for the delivery cost on your order. This discount will be made available to you during checkout when selecting your delivery options.

Delivery discounts do not stack with other promotions related to delivery offered by us. In the event that an additional promotion related to delivery is applied to your order, the highest discount or saving will be automatically applied for you.

2.1.3 Specials & offers

From time to time, your membership will entitle you to early or exclusive access to specials, offers and discounts for products or services provided by us or our partners. This membership benefit does not confer a right, but an option, to access these in the event that they are offered by us.

You will be informed of these via direct email or via the website. To ensure you receive notice of these offers ensure you are subscribed to receive promotional materials and offers.

2.1.4 Product samples

From time to time, your membership will entitle you to receive free product samples offered by us or our partners. This membership benefit does not confer a right, but an option, to access these samples in the event that they are offered by us.

In the event a product sample is offered, it will automatically be added to your order.

3. MEMBERSHIP COMMENCEMENT

Your membership commences on the Membership Start Date, which is the date of completing checking out with a Membership subscription and our receipt of the membership fee payable. The commencement is based on the selected membership option (monthly or annual).

Membership benefits do not apply retroactively to previous purchases.

4. MEMBERSHIP PERIOD

4.1 Commitment Periods

Your Commitment Period includes both a Minimum Commitment Period and an Ongoing Commitment Period, corresponding to the selected membership type (monthly or annual). For monthly memberships, the Minimum Commitment Period is one month, automatically renewing each month unless terminated as per clause 7. For annual memberships, the Minimum Commitment Period is one calendar year, with conditions for renewal or termination as previously described.

4.2 Cooling off Period

At the start of each Commitment Period or Ongoing Commitment Period, this agreement is subject to a 7 day cooling off period. If you change your mind and wish to cancel your membership during this period, you may notify us by contacting our support team.

If you do so, we will refund your Membership Dues less the sum of any discount, promotion or benefit received as a result of accessing membership benefits during this period.

5. MEMBERSHIP DUES AND FEES

5.1 Your Membership Dues

Membership Dues are payable upfront for the duration of your Commitment Period, according to the membership type selected at signup. Membership benefits are contingent upon the payment of these dues.

5.2 Changes to Membership Dues

Membership Dues are subject to change, with a commitment to notify members at least 14 days in advance of any changes. This could result in an adjustment to your dues at the renewal of your Commitment Period.

We reserve the right to change your Membership Dues in line with any government GST rate changes.

6. MEMBERSHIP TRANSFER

Membership cannot be transferred or shared with another person. Your membership is personal to you and the email used during the Membership Signup form and payment process.

7. MEMBERSHIP TERMINATION

7.1 Termination by you during Commitment Period

You may give us notice to terminate your membership by contacting our support team or updating your membership settings under ‘My Membership’ in your customer portal. We must receive this notice or cancellation at least 3 business days prior to the start date of the annual billing period for your Ongoing Commitment Period. The annual billing date is the Start Date of each Ongoing Commitment Period.

You will retain access to your membership benefits until the end of your current Commitment Period.

7.2 Cooling off period

At the start of each Commitment Period or Ongoing Commitment Period, this agreement is subject to a 7 day cooling off period. If you change your mind and wish to cancel your membership during this period, you may notify us by contacting our support team.

7.3 Other reasons for termination

You may immediately terminate your membership within 30 days of any of the following occurring:

  1. We increase your Membership Dues other than in accordance with clause 5.3;
  2. We cease to service the location you reside in;
  3. We make changes to these membership terms that significantly reduce the benefits of your membership;
  4. We breach any terms of this agreement and fail to rectify that breach within 14 days of being notified by you.

For the avoidance of doubt, under clause 7.3 (3) this does not extend to the governing TOS for the use of the Good Groceries website by all users.

7.4 Termination by Us

We reserve the right to terminate your membership immediately by emailing you at the contact addresses we have on our records if you:

  1. Commit a serious or repeated breach of the TOS for use of the Good Groceries website;
  2. otherwise breach these membership terms or the TOS for use of the Good Groceries website and the breach, if capable of remedy, is not remedied within 14 days of us giving you notice to do so whereby we also inform you that your membership will be terminated if you fail to do so;
  3. provide unauthorised access to your membership account and membership benefits to another person(s) that is not yourself;
  4. provide us with details that you know to be false when applying for membership and these false details may have affected our reasonable decision to grant you membership.

In the event your membership is terminated for any of these reasons we may (without limiting any other right or remedy available) recover any other reasonable costs and expenses we incur as a result of your breach. Including, but not limited to, recouping the sum of benefits accessed by the unauthorised use and access of your membership benefits by anyone that is not yourself.

7.5 Available Membership Dues refunds

In the event that membership is terminated during the cooling off period, we will refund your Membership Dues less the sum of any discount, promotion or benefit received as a consequence of accessing membership benefits during this period.

Under all other scenarios including variation to this agreement, discontinuation of membership services or the discontinuation of our operations, Membership Dues are non-refundable.

7.6 Collection of dues, fees or expenses incurred as a consequence of breach

In the event that we pursue the recovery of any fees, dues or reasonable costs and expenses we incur as a consequence of your breach of the agreement or TOS we may use a third party to assist in the collection of outstanding fees, dues for reasonable costs and expenses.

7.7 Accessing membership benefits after termination

In the event your membership is terminated by you under clause 4.1 or 7.1, you will retain access to your membership benefits until the end of your commitment period.

If your membership is terminated for any other reason outlined in clause 4 or 7 or your account is suspended or terminated temporarily or indefinitely due to violations of the governing TOS, you agree to forfeit access to your membership benefits and the right to a refund of any membership dues.

8. VARIATION TO AGREEMENT

We reserve the right to make reasonable amendments to these terms including the membership benefits in clause 2 and reserve the right to discontinue any membership services and/or benefits at our discretion. We will give you at least 14 days’ notice by emailing you, or writing to you to inform you of changes being made and where you may see the amended terms.

This notice of changes does not extend to variation of the governing TOS for the use of the Good Groceries website. Under this membership agreement, you acknowledge that we reserve the right to amend these TOS and any other policy on this site at any time in our sole discretion and any such changes will, unless otherwise noted, be effective immediately. Your continued usage of the site will mean you accept those amendments. This further extends to the right, without notice and at our sole discretion, to change, suspend, discontinue or impose limits on any aspect or content of this site or the products offered through this site.

If any amendment to the membership terms significantly reduces the benefits of your membership you have the right to terminate your membership under paragraph 7.3.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we exclude all liability to you or any other person for any loss, cost, expense, claim or damage (whether arising in contract, negligence, tort, equity, statute or otherwise, and for any loss, whether it be consequential, indirect, incidental, special, punitive, exemplary or otherwise, including any loss of profits, loss or corruption of data or loss of goodwill) arising directly or indirectly out of, or in connection with, this agreement, or the use of, or inability to use or access your membership or it’s accompany benefits, by you or any other person.

You agree that you enter this agreement at your own discretion and risk. You agree to release us and our officers, employees, agents, consultants, licensors, partners and affiliates from any claim, demand or cause of action that you may have against any of them arising from this agreement or the use of your membership by you or any other person. We may plead this release as a bar and complete defence to any claims or proceedings.

To the maximum extent permitted by law, and without limiting any other provision of this agreement or TOS, we exclude liability for any delay in performing any of our obligations under this agreement or TOS where such delay is caused by circumstances beyond the reasonable control of Good Groceries, and Good Groceries shall be entitled to a reasonable extension of time for the performance of such obligations.
